Terms of Service
Last updated: 28 October 2026 · Version 2026-10
These terms are the agreement between Harvhills Solutions (“we”, “us”) and the business that creates an account (“you”) to use Harvhills Payroll (the “Service”). By ticking the box when you sign up, accepting an invitation, or using the Service, you agree to them and to our Privacy Policy. If you do not agree, please do not use the Service.
1. The Service
Harvhills Payroll is cloud software for payroll and workforce management: it records employees, calculates pay and statutory deductions using configured rule sets, produces payslips and payment files, and tracks attendance, leave and reports. We may improve, change or retire features; if a change would materially reduce what you have paid for, we will give you reasonable notice.
2. Accounts and who can sign up
- The Service is for businesses and professionals (for example payroll bureaus and employers). You must be at least 18 and authorised to bind the business you sign up for.
- Give accurate information and keep it up to date. Keep your password and two-factor device secure; you are responsible for activity under your account and your team’s accounts, and must tell us promptly if you suspect misuse.
- You decide who on your team has access and with which role. Remove people who should no longer have access.
3. Your data
You keep all rights to the data you put into the Service (“Customer Data”). You give us permission to host and process it only to provide the Service to you, as described in the Privacy Policy. You promise that you have the right to enter it — including that you have a lawful basis, and have given any notice or obtained any consent required by data-protection law, for the employee data you upload. For that data you are the controller and we are your processor. You can export or ask us to delete your data at any time.
4. Payroll results are your responsibility to check
The Service calculates PAYE, pension, NHF, NSITF, ITF and similar amounts using rule sets that we and our users maintain from published statutory rates, applied to the figures you enter. Laws and rates change, and results depend entirely on correct input. The Service is a calculation tool, not tax, legal or accounting advice. You must review every payroll run before approving it, paying employees, and remitting to authorities. You are responsible for paying employees and remitting deductions on time.
5. Acceptable use
Do not: break the law or use the Service to process data you have no right to process; try to access another customer’s data or break, probe or overload the Service; share an account across unrelated businesses; reverse-engineer or resell the Service without our written agreement; upload malware or unlawful content. We may suspend access that puts the Service or others at risk, and we will tell you why when we can.
6. Plans, fees and VAT
- Prices are in Nigerian Naira (₦) and are shown before VAT. VAT at 7.5% is added at checkout, and the full total including VAT is shown on the Pricing page and on the payment page before you pay. There are no other fees from us.
- Plans may be billed monthly or yearly. A yearly plan is paid in one amount for the year and may be discounted compared with twelve monthly payments; the discount percentage is shown on the Pricing page.
- Payments are made through Paystack. Subscriptions do not renew automatically: we never charge you again without you choosing to renew. We will remind you before your period ends.
- If we offer a free trial, its length is shown in your account. Trials do not require payment details and do not turn into a paid plan unless you pay.
- If a billing period ends without renewal, access to the Service is paused. Your data is not deleted because of that; renew to regain access.
- We may change prices for future periods. A price change never affects a period you have already paid for.
- Refunds are covered in our Refund Policy.
7. Our rights
We own the Service, its software, design and documentation. You get a limited, non-exclusive, non-transferable right to use it for your own business during your subscription. If you send us feedback, we may use it freely to improve the Service.
8. Availability and support
We work to keep the Service available and secure but do not promise it will be uninterrupted or error-free. We may carry out maintenance, and will try to schedule it at low-impact times. Support is available at admin@harvhills.com.ng.
9. Limits on our liability
The Service is provided “as is”. To the fullest extent the law allows, we are not liable for indirect or consequential loss (including lost profits, penalties or interest charged by tax or pension authorities caused by incorrect input, or late filing or payment), and our total liability to you for anything arising from the Service in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence, or limits any right you have under Nigerian consumer or data-protection law.
10. Ending the agreement
You may stop using the Service at any time (there is nothing to cancel, because plans do not auto-renew) and may ask us to delete your data. We may suspend or end your access if you materially breach these terms and do not fix it within a reasonable time after we tell you, or immediately where needed to protect the Service or others. After the agreement ends we will, on request, give you a copy of your data and then delete it as described in the Privacy Policy, except records we must keep by law.
11. Changes to these terms
We may update these terms. For material changes we will notify account holders by email at least 14 days before they take effect, and update the date and version above. If you do not agree you may stop using the Service before the change takes effect; continuing afterwards means you accept it.
12. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. Please contact us first at admin@harvhills.com.ng and we will try to resolve any dispute in good faith. If we cannot, the courts of Lagos State, Nigeria have jurisdiction, without taking away any right you have to go to a regulator or court elsewhere where the law gives you one.
